SUBSCHOOL TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of SubSchool’s websites, teacher dashboard, student app, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms.
1) WHO WE ARE
SubSchool is operated by SubSchool LTD.

2) DEFINITIONS
“Teacher” means a user who creates, publishes, sells, or delivers learning content and/or tutoring.
“Student” means a user who enrolls in, purchases, or participates in learning activities.
“School” means an organization account that can manage multiple teachers and revenue sharing.
“Course” means a structured learning product (modules/lessons) offered through the Service.
“Lesson” means a unit of content (video, slides, text, live session, etc.) within a course.
“Hidden/Private Course” means a course not publicly listed in the marketplace, typically used by schools/teams and accessible by invitation.
“Content” means any text, files, videos, audio, slides, homework, submissions, messages, recordings, and other materials uploaded or generated within the Service.
“AI Tools” means features that help generate structure, homework, grading suggestions, feedback, summaries, or other assistance based on Content (“AI Output”).
3) ELIGIBILITY AND ACCOUNTS
3.1 You must provide accurate account information and keep it updated.
3.2 If you are a minor, a parent/guardian (or your school/organization, where legally permitted) must consent to your use of the Service.
3.3 You are responsible for all activity under your account and for safeguarding your login credentials.
4) WHAT SUBSCHOOL DOES (AND DOES NOT DO)
4.1 SubSchool provides software tools to create, deliver, and purchase learning experiences (courses, lessons, tutoring, homework, communication, and AI Tools).
4.2 Teachers and Schools are independent from SubSchool. SubSchool is not the educational provider of Teacher Content, does not guarantee learning outcomes, and does not employ Teachers.
4.3 SubSchool may remove or restrict Content that violates these Terms, applicable law, or safety policies (including content inappropriate for minors).
5) TEACHER / SCHOOL RESPONSIBILITIES
5.1 You are solely responsible for:
- your Course/Lesson quality, accuracy, and legality,
- any claims you make about outcomes (e.g., exam scores, hiring success),
- student support and instructor oversight,
- obtaining any required permissions/consents (including for recordings and use of student work),
- taxes, reporting, and compliance obligations in your jurisdiction.
5.2 You must not upload Content that infringes IP rights, violates privacy, contains illegal material, or is unsafe/harmful.
5.3 If you teach minors, you must follow applicable child-safety rules and obtain necessary consents.
6) STUDENT RESPONSIBILITIES
6.1 You agree to use the Service for lawful learning purposes and comply with course rules set by the Teacher/School.
6.2 You must not cheat, abuse the platform, harass others, or upload unlawful or infringing Content.
6.3 If you submit voice/video “interview-style” answers, you confirm you have rights/consent to share that recording.
7) AI TOOLS (IMPORTANT)
7.1 AI Tools are assistive. AI Output may be inaccurate, incomplete, biased, or inappropriate depending on inputs.
7.2 Teachers/Schools remain responsible for final educational decisions, grading, and feedback. Do not rely on AI Output as the sole basis for high-stakes decisions (including hiring, admissions, or disciplinary actions).
7.3 By using AI Tools, you allow the Service to process your Content to generate AI Output (including transforming, analyzing, and extracting structure/insights as needed to provide the feature).
7.4 You are responsible for reviewing AI Output before publishing it or using it with students.
8) RECORDINGS, LIVE LESSONS, AND CONSENT
8.1 The Service may support live lessons and store recordings in lessons and/or chats.
8.2 You must ensure you have lawful consent/permission to record and store sessions and to share recordings with participants.
8.3 You are responsible for notifying participants when a session is recorded (if required by law).
9) CONTENT OWNERSHIP AND LICENSES
9.1 You retain ownership of the Content you upload (“Input”), subject to the rights you grant in these Terms.
9.2 You grant SubSchool a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process your Content solely to operate, secure, and improve the Service and to provide requested features (including AI Tools, recordings, homework workflows, and delivery to the users you authorize).
9.3 AI Output: To the extent allowed by law and third-party terms, SubSchool assigns to you any rights SubSchool may have in AI Output generated for your account. You remain responsible for ensuring AI Output does not infringe others’ rights.
9.4 Feedback: If you submit ideas/feature requests, you grant SubSchool the right to use them without restriction or compensation.
10) PAYMENTS, FEES, SUBSCRIPTIONS
10.1 Marketplace sales (commission model)
- Students may purchase courses/lessons through the Service.
- For public marketplace purchases, SubSchool charges Teachers/Schools a service fee equal to 20% of the amount paid by the student, unless stated otherwise in the product UI at checkout or pricing pages.
10.2 Hidden/Private courses (subscription model)
- The Service may offer subscription plans that allow creating Hidden/Private Courses and inviting students while bypassing marketplace commission for those invited students.
- Subscription details (price, included limits, storage allowances, add-ons) are shown on the pricing pages and/or in the Teacher/School dashboard and may change over time. If there is a conflict, the dashboard/pricing page at the time of purchase controls.
10.3 Payouts
- Teacher/School payouts may be delivered via PayPal or other payment methods shown in the dashboard.
- You are responsible for providing correct payout details and complying with PayPal (or other provider) terms.
- SubSchool may delay or withhold payouts for fraud prevention, compliance, chargebacks, refunds, or legal requirements.
10.4 Minimum withdrawal threshold
- The minimum withdrawal threshold (if any) is shown in the dashboard. If stated elsewhere, the dashboard controls.
10.5 Taxes
- Teachers/Schools are responsible for all applicable taxes and reporting related to their earnings.
11) REFUNDS, CHARGEBACKS, AND DISPUTES
11.1 Digital content and live sessions may be non-refundable once accessed/consumed, except where required by law or expressly stated at purchase.
11.2 If a student files a chargeback/refund and funds are reversed, SubSchool may deduct the corresponding amount (and reasonable fees) from Teacher/School balances.
11.3 Teachers/Schools are expected to cooperate with reasonable evidence requests related to disputes.
12) ACCEPTABLE USE (NO FUN ALLOWED FOR BAD ACTORS)
You must not:
- violate any law or third-party rights,
- upload malware or attempt to break the Service,
- scrape or harvest user data,
- impersonate others,
- exploit minors or publish sexual content involving minors (immediate ban + reporting where required),
- use the Service to train or evaluate people in a way that violates employment/anti-discrimination laws.
13) SUSPENSION AND TERMINATION
13.1 SubSchool may suspend or terminate accounts for violations, fraud, safety risks, legal compliance, or harm to the Service.
13.2 Upon termination, access may be revoked and balances may be withheld as necessary to cover chargebacks, refunds, or legal obligations.
14) DISCLAIMER OF WARRANTIES
The Service is provided “as is” and “as available”. SubSchool does not guarantee uninterrupted operation, error-free AI Output, or any specific educational or business outcome.
15) LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- SubSchool is not liable for indirect, incidental, special, consequential, or punitive damages.
- SubSchool’s total liability for any claim related to the Service will not exceed the amounts paid to SubSchool by you in the 12 months preceding the event giving rise to the claim (or 100 GBP if you paid nothing), unless a higher liability is required by law.
16) GOVERNING LAW
These Terms are governed by the laws of England and Wales. Courts of England and Wales will have exclusive jurisdiction, except where consumer protection laws require otherwise.
17) CHANGES TO THESE TERMS
We may update these Terms. We will revise the “Last updated” date and may notify you in-product. Continued use after changes means acceptance.
